Hebe House Limited (referred to herein as “Carole Sawo”, “Carole Sawo Education & Tuition”, “hebehouse”, “Hebe Publishing Company Ltd”, “carolesawo.com”, “Hebe College (Live Events or Online Study)”, “we” or “us” or “our”), including subsidiaries, affiliates and representative agents thereof, is a company providing information and services, products, content and transactions on the world-wide web (the “internet”) and in class (“classroom”, “venue”, “live events”) to users (cumulatively referred herein as “visitor(s)”, “student(s)”, “registrant(s)”, “purchaser(s)”, “you”, “your”, or “End User”).

3.     Agreement

This Agreement (“Agreement”) sets forth the Terms, Conditions & Disclaimers provided by Hebe House Limited, that apply to the use of this Site or services by you.  By using this Site or services, you agree to comply with all of these Terms, Conditions & Disclaimers. The right to use this Site or Services is personal to you and is not transferable to any other person or entity.

You shall not post, upload or in anyway make available on this site or associate to this site, any material protected by Copyright, Trademark, Great Britain or International Laws, or any other proprietary right without the express and written permission of the owner of the Copyright, Trademark or other proprietary right.  We shall not bear any burden of infringements to the above rights, nor take responsibility for determining, censoring, monitoring, providing guidance, indications or make any investigations into the ownership of such material posted by you to us.  You shall be solely liable for any damages resulting from infringements of Copyrights, Trademarks or other proprietary rights, or any other harm associated with, or resulting from your submissions.  Use of any software or content shall be governed by the accompanying software licence agreement.

Any material submitted by you or any other user is not endorsed or approved by us. No material submitted shall be deemed to have been published or edited by us.  We shall not bear the burden of, but will retain the right at all times to monitor, review, remove, alter, delete, edit, withhold publication, restrict or prohibit without notice or communication, any material submitted or posted by any user that is in our absolute discretion deemed, or likely to be deemed, unsuitable, inappropriate or unacceptable for any reason.  You may not publish or post, distribute or disseminate any content (including but not limited to) material that could be deemed as damaging, detrimental, abusive, unlawful, harassing, defamatory, indecent, threatening, harmful, vulgar, obscene, sexually orientated, racially offensive, profane, pornographic or violates the rights of other users or any third party, or any applicable law.  You hereby indemnify Hebe House Limited, Carole Sawo, employees, associates and affiliates thereof, against any loss, liability, damage or expense of whatever nature which we or any third party may suffer which is caused by or attributable to, whether directly or indirectly, by your use of the website to send or post any such message or material.

(e) Corruption
You may not post or upload files that contain viruses, corrupted files or any other similar software or programmes that may damage the operation of our and/or a third party’s computer system and/or network.  You may not submit content containing marketing or promotional material that is intended to solicit business.  

9.    User Conduct

(a) Interactions & Associations
All interactions on this site must comply with the Terms, Conditions & Disclaimers set out in this Agreement.  We do not associate with anyone else and are in no way responsible for the conduct, products, thoughts or opinions of others. In no event shall our ordinary rights be compromised or infringed upon.  Any conduct that would not comply with the law, is deemed abusive, defamatory, invasions of privacy, gives rise to a cause for concern, threatens data protection or a duty of care, or is otherwise objectionable, or would restrict or interfere with any users’ enjoyment of this site or services offered is strictly prohibited.  You will not make statements or references to Hebe House Limited, Hebe College, Hebe Publishing Company, Carole Sawo, Carole Sawo Education & Tuition, the site, products and services offered or affiliates thereof that could be considered or construed as detrimental to all and any personal or professional reputation, intention, motivation or cause.  No reference shall be made to the foregoing by any user that would give rise to incite or any other unlawful act. Material provided in live events, live classes, videos or related to articles, publications or online courses or seminars may not be redistributed, have other works derived from, or be shared by you.  

(b) Copyright & Recording Content
You may not tape, film or record any part of any product, live event, live class, video, seminar or course, article or any other product provided by Hebe House Limited, Carole Sawo, or associates, employees or affiliates thereof, nor may any taped, filmed or recorded information be subsequently presented in any format by you or any other party in receipt of the unlawful distribution of material.  Live online classes may be recorded by us only.  Users are not permitted to record live online classes in part or in whole.  Users attending live online classes will not appear or be included in any way in edited recordings, that may subsequently be made available for promotional or retail purposes.

(c)  Causes of Copyright Concern & Unauthorised Distribution of Material
Should it be deemed by us that there is a potential concern or an actual breach of the legally held copywritten works owned by Carole Sawo, or that copywritten material is being misappropriated, we reserve the right to suspend classes, services and products to students, and to put students and third parties on notice, to pursue investigations and any subsequent claims.  In matters where a cause for concern arises from registered or previously registered students of Hebe College, we reserve the right to suspend and/or remove students temporarily or permanently from class, and from purchasing or accessing copywritten material from the website or related social media.  In matters related to the intended or actual publication of copywritten or derived works by second or third parties, we reserve the right to issue notifications and take further legal action if necessary. 

(d) Online Study Access
The sharing of login names and passwords is strictly prohibited and will result in legal action being taken against you.  We reserve the right to block and prevent any user who does not comply with these Terms, Conditions & Disclaimers, from accessing online material or services, buying material belonging to us or attending live events or classes.

(e) Human Rights & Equality Acts
We adhere to the Human Rights Act and Equality Act (2010).  Any conduct by a user that in our exclusive discretion infringes upon, harms, or has the potential to infringe upon or harm, restrict or prohibits any other user from freely enjoying or using this site or services is strictly prohibited.

(f) General Data Protection Regulations
Information provided by students is bound by the General Data Protection Regulations (2018) and shall be treated in accordance with such.  Any person requesting private information, or attempting to invade the privacy, or seek the Data Protected information of Carole Sawo or others, or any associate or employee of Hebe House Limited, or affiliates thereof, whether by direct or indirect means, will immediately be removed if registered, prevented from attending or registering for all existing and upcoming events run by  us, or accessing this site. 

(g) Defamation
You agree to provide true and accurate information when using this site and services.  You agree not to use or make reference to this site, services or Carole Sawo, or employees of Hebe House Limited, or to transmit any material that would violate others, nor send or post information or details on this site or make any reference to us or affiliates thereof, that may be deemed libellous, menacing, vulgar, derogatory, unlawful, defamatory, threatening, inappropriate, persecutory, stalking, obscene, harassment, an invasion of privacy, abusive or offensive.

(h) Misuse of Services
You shall not utilise this site or services as a forum for political, religious, commercial or non-commercial gain or solicitation.  No advertising or any solicitation with regard to services or products shall appear on this site without the prior notification and written permission of Hebe House Limited. The right to use this site is personal and non transferable.  You may not use another person’s e-mail address or the name of another individual or organisation when using this site or services.  You may not disrupt the normal flow of dialogue within this site, nor infringe upon the enjoyment of this site or services by any other user in any way whatsoever.

14.   Live Events & Live Classes Online:  Fees, Payment & Conditions 

(a) Fees, Bookings & Payments
Fees for events, live online classes, products or services are payable in advance in full at the time of registration, ordering, or booking.  Due to the nature of business, registrations, bookings, payments and electronic purchases are non-refundable and non-transferable.  Please do not request any subsequent refunds or transfers as refusal can often offend.   You may not re-sell a ticket. We are under no obligation to offer discounts, funding or other payment terms.  When bulk buying tickets, the Primary Registrant shall assume the legal responsibility of communicating these Terms of Business to all other attendees in their party, whereupon it shall be deemed that all other attendees are in acceptance of these Terms.  Students who withdraw or do not attend events or classes for any reason are not permitted to apply for a refund of any, or part of any, registration fees submitted for single or ongoing subscription events, nor expect subsequent access to any missed class recordings.  Anyone attending an event without priorly booking online, will not be permitted access. Course and Seminar fees are subject to periodic reviews and shall become effective immediately upon posting without prior notification to you.  

(b) Student Age Limitations & Vulnerable Adults
Anyone under the age of 18 years living in England is legally a child.  Children under 18 years of age (and other vulnerable adults) are not permitted to register on or attend any live or online events or access or purchase services offered by Hebe House Limited without the express prior written consent of their parent or primary guardian.  Hebe College events are held in predominantly unsupervised adult environments. All students are expected to have the necessary social and intellectual skills to study alongside others from a wide range of ages and abilities.  We will not act in loco parentis (in parental capacity) toward any student or determine if the material presented or discussed is appropriate for attendees. Students enrolling on events without parental/guardian permission and consent by us, that are subsequently found not to be 18 years of age or over, will be removed from the event immediately, without the opportunity for any refund. Students and children under the age of 18 years are not permitted to attend hosting venues whatsoever.

(c) Attendance Conduct & Preservation of Learning
The right to preserve the learning environment is asserted at all times.  We expect all attendees to live events and classes to attend class (in person or online) adhering to reasonable standards of personal hygiene, presentation and social conduct.  All students are required to attend and be seated in class before lesson commencement.  We reserve the right to prohibit access to any event, to any user or student that is deemed to give rise to a cause of concern, infringes clearly defined codes of classroom etiquette & standards, and/or potential breaches of the law.  We reserve the right to prevent entry or remove any student who does not comply with ordinary standards of personal hygiene, dress, conduct, behaviour, does not follow in-class etiquette and conduct requests, or our directives surrounding health and safety conduct.  No taping, filming or recording of any part of the lesson is permitted by attendees.  To avoid distracting others, no laptops are permitted at live events.  You may not share access links to live online classes.  Any user sharing access links to live online classes will be removed from this website and blocked from all services and social media access immediately and will face further legal action.

(d)  Registering for Live Events & Classes
Events and services are intended for informational learning interests and are not intended to be used as forums for airing strong personal opinions, personal therapeutic sessions or replacement of such.  We reserve the right to immediately mute online or remove any student who disturbs or disrupts the class, who deteriorates the enjoyment and education of others, who shouts out, dominates, intimidates, disrespects, causes distress, constantly interrupts the tutor or other attendees, or who verbally refutes the beliefs of others with immediate effect and without opportunity for a refund of any fees priorly submitted.  Under no circumstances are students permitted to enrol or attend class, who have, or are known to, or suspected to have, taken or be taking, any mind-altering substances, prior to or during any live events.

(c)  Authorisation & Attendance
Premises and facilities are utilised entirely at your own risk, the Terms of which are bound by the premises facilitator.  Authorisation to attend hosting venues extends to the registered ticket holder only.  No accompanying others many access, enjoy or be deemed by association to be permitted access to or enjoy the facilities of the hosting venue.  Nor shall anyone assume the right to access or enjoy the facilities of Hebe College hosting venues, outside of attending registered events.

(d)  Subscription to Services & Newsletters
When making a purchase for a subscription service, you enter into a billing agreement contract directly between you and Paypal, by your own free will.  Subscriptions can be terminated by you at any time. Billing agreements are the customer’s responsibility and remain in place and in force until such time as you cancel the subscription yourself, directly with Paypal.  No back fees for services delivered online are refundable.  When purchasing tickets, registering for classes or products, or subscribing on our website, you agree to your details being electronically captured and stored by us.  Should you wish to unsubscribe from newsletters at any time for any reason, please do so at the bottom of the newsletter or contact us.   If you wish to have all of your details removed permanently from all of our systems, please contact us and we will delete all information provided immediately. 

15.  Online Courses & Coaching: Payments, Access & Conditions

(a) User Results & Responsibilities
Results may vary and no guarantee or warranty is made to any user whatsoever.  To use certain features of the Site, you will need a username and password, which you will receive and set through the Site’s registration process. You are responsible for setting your own password, accessing your course, and maintaining the confidentiality of the password and account, and are responsible for all activities (whether by you or by others) that occur under your password or account. You agree to notify us immediately of any unauthorised use of your password or account or any other breach of security, and to ensure that you exit from your account at the end of each session.  We cannot and will not be liable for any loss or damage arising from your failure to protect your password or account information.  The online course system is monitored regularly.  Any user who is found to abuse this system, share any information and disregard International Copyright Laws, will be blocked from access and may receive further legal action.  Fees for online material & services are non-refundable and non-transferable.  You are entirely responsible for all and any electronic equipment required to access and facilitate online material.  Access to online study material will auto-expire in accordance with the time-frame provided at the point of purchase literature.  Due to International Time Zoning and catering to a worldwide audience, the Online Administration Office will be open for prompt replies to enquiries between 1pm – 9pm GMT. 

(b) Consumer Contracts Regulations
Consumer Contracts Regulations (2014) apply to all online purchases.  For postal items, please contact us should goods arrive damaged in transit.  Damaged goods are only refundable within 30 days of purchase.  Postal charges for refunded items are the responsibility of the buyer.  For online programme purchases, cancellation cooling-off periods do not legally apply and no refunds are available once a user has set/reset their own access password. 

(c)  Online and digital products purchased from us are final and non-refundable after purchase for any reason.  Prices for classes and courses and other online products offered by us may change at any time.  We do not provide price protection, or refunds should the product you purchased be reduced in the event of a price reduction or promotional offer. 

(d)  Coaching Tutorials
Online Tutorials are for informational purposes only and are available to book by students 18 years of age or over.  Students under the age of 18 require express parental/guardian permission in writing and consent from us. Times of tutorials may vary and no contractual number of tutorials will be undertaken.  We reserve the right to discontinue this service at any time without notice.  User conduct and equipment terms apply.  Tutorials are payable online in advance and are non-refundable.  No guarantees or warranties of outcomes can be, or are given.  

(e)  Online Course Expiry
To prevent unauthorised distribution of electronic products, all online courses have an expiry date of between 90-360 days.  If users need to extend their access period, please contact us.

16.    Termination of Use

This Agreement may be terminated at any time for any reason by us.  We may terminate or suspend any user’s access to part or all of this site or services without notification for any reason, and shall retain the right to immediately terminate any user password or account for any conduct considered to be unacceptable, inappropriate, illegal, immoral or harmful in anyway.  We operate a strict policy against spamming and reserve the right to terminate your account due to any violation of this policy.  In termination of this Agreement users may not continue to access or use this site or services, or any information pertaining thereof.  The provisions provided herein shall survive any termination of this Agreement.

17. Conflicts Arising

(a) Initial Contact
Any matters in conflict arising shall be directed in the first instance to Carole Sawo, who, without acceptance of liability, will consider the grievance.  Any cause of action or claim with respect to content or services must be commenced within one year after the claim or cause of action arises.  Conflict checks require users to provide their name and contact information and the identity of any affiliated entities, opposing individuals and entities, together with all relevant information pertaining to the grievance.  We retain the right to make any changes or alterations to the site, products or services offered in response to any conflict arising, without communication or acceptance of liability whatsoever.

(b) Jurisdiction
Any relevant Terms, Conditions & Disclaimers, policies and notices shall be governed by and construed in accordance with the laws of the United Kingdom (UK) without giving effect to any principles of conflict of law.  You hereby consent to the exclusive jurisdiction of the High Court of the United Kingdom (UK) in respect of any disputes arising in connection with the website, products or services, or any relevant Terms, Conditions & Disclaimers, policies and notices or any matter related to or in connection herein and therewith.  Any dispute relating in any way to this Agreement (including but not limited to conduct, negligence or any actual or alleged breach thereof), transactions or activities under this agreement shall be submitted to confidential arbitration in London.  In any event, you will use legal counsel reasonably satisfactory to us to defend any indemnified claim.  If at any time we reasonably determine that any such claim may adversely affect the site, services, us, users or affiliates thereof in any way, we may take control over the defence at our expense.  You may not consent to any settlement or judgement without prior written consent from us.  In the event of any indemnifications not specified in this agreement at the time of consent, but arising as a result of a claim, such apparent omissions shall be immediately assumed in favour of us and applied as part of this Agreement.

(c) Time Extension
No indulgence or extension of time which either you or we may grant to the other will constitute a waiver of or, whether by estoppel or otherwise, limit any of the existing or future rights of the grantor in terms hereof, save in the event or to the extent that the grantor has signed a written document expressly waiving or limiting such rights.

If you have any questions, comments or concerns arising from the website or services offered, the Privacy Policy or any other relevant Terms and Conditions, policies and notices or the way in which we are handling your personal information please contact us.

19.    Miscellaneous

All rights not expressly granted herein are reserved.  Our failure to enforce or specify any provision within this Agreement shall not be construed as either a provision of a right or a waiver.   We shall be entitled to cede, assign and delegate all or any of our rights or obligations in terms of any relevant Terms, Conditions & Disclaimers, policies and notices under this Agreement, to any party without prior notification to you.
